    1. Acceptance of Terms

    1.1 By accessing, registering for, or using the Services in any way, you confirm that you have read, understood, and agree to these Terms and all associated policies (including our Privacy Policy).

    1.2 If you do not agree to the Terms, do not use the Services. The Services are offered subject to your acceptance of the terms and conditions contained herein and all other operating rules, policies (including, without limitation, ClosePod's Privacy Policy) and procedures that may be published from time to time by ClosePod related to the Services, which shall be incorporated herein by reference.

    1.3 These Terms apply to all visitors, users, and others who access the Services.

    2. Changes

    2.1 We therefore may make changes to the Terms and/or our other operating rules, policies and/or procedures from time to time, in our sole and absolute discretion.

    2.2 We will notify you of any changes to the Terms by posting the updated Terms on ClosePod’s website and/or the Services, and we will revise the “Updated” date above. Any changes to our operating rules, policies and/or procedures shall be incorporated herein.

    2.3 It is your responsibility to review the Terms frequently and to remain informed of any changes to them. We may also provide you with additional forms of notice of modifications and/or updates as appropriate under the circumstances including but not limited to sending you an email informing you of the changes and/or by prominently posting notice of the changes on ClosePod’s website and/or Services.

    2.4 If you do not agree with the changes and/or modifications, you shall not use the Services after the effective date of the changes. The then-current version of the Terms will supersede all earlier versions.

    2.5 You agree that your continued use of the Services after such changes have been published will constitute your acceptance of such revised Terms and operating rules, policies and/or procedures (as applicable).

    3. License to Use Our Services

    3.1 Ownership and Rights to Access and/or Use the Services.

    By using the Services and subject to your compliance with the Terms: (a) ClosePod and our licensors grant to you a limited, personal, non-exclusive, non-transferable, revocable right to use and/or access the Services; and (b) you agree not to reproduce, distribute, create derivative works from, publicly display, publicly perform, license, sell and/or re-sell any content, software, products and/or services obtained from and/or through the Services without the express prior written permission of ClosePod. Neither the Terms nor your access to and/or use of the Services transfers to you and/or any third party any rights, title and/or interest in any intellectual property rights related to the Services.

    3.2 Reservation of Rights.

    Our Services and those of our licensors are protected by applicable intellectual property laws, including United States copyright law and international treaties. Subject to the limited rights expressly granted hereunder, ClosePod and/or its third party providers, licensors and suppliers reserve all right, title and interest in and to the Services, including without limitation all related worldwide intellectual property rights. No rights are granted to you hereunder other than as expressly set forth herein.

    3.3 Availability of Content.

    We do not guarantee that any content will be made available on the Services. We reserve the right to, but do not have any obligation to, (i) remove, edit and/or modify any content in our sole discretion, at any time, without notice to you and for any reason (including, but not limited to, upon receipt of claims and/or allegations from third parties and/or authorities relating to such content and/or if we are concerned that you may have violated the Terms), and/or for no reason at all and (ii) remove or block any content from the Services.

    4. Service and Support

    4.2 We will respond to inquiries during regular business hours: Monday–Friday, 8:00 AM–5:00 PM ET.

    5. Scope of Use

    5.1 Account Creation:

    • You must provide accurate information when creating an account.
    • You are responsible for maintaining the security of your account credentials.

    5.2 Restrictions on Use:

    • You shall not engage in illegal activities using the Services.
    • You shall not harm or exploit others using the Services.

    5.3 Service Availability:

    We reserve the right to limit or terminate your access to the Services for any reason, including maintenance or misuse.

    6. Payment and Renewal

    6.1 Subscription Plans:

    Closepod offers monthly and annual subscription plans. Fees will be charged automatically based on your selected plan.

    6.2 Cancellation Policy:

    • Annual plans require 30 days‘ notice before the renewal date for cancellation.
    • Cancellations must be submitted in writing to support@closepod.com.
    • Payments are non-refundable.

    6.3 Failed Payments:

    • If payment fails, you are responsible for updating your billing information immediately.
    • Access may be suspended until overdue payments are resolved.

    7. User Content

    7.1 Your Responsibility:

    You are solely responsible for all content uploaded, shared, or otherwise provided through the Services.

    7.2 License to Use:

    By uploading content, you grant us a non-exclusive license to use, modify, and distribute your content as necessary for providing the Services.

    8. Prohibited User Content

    8.1 You shall not upload or share content that:

    • Violates any applicable law.
    • Is defamatory, obscene, or harmful.
    • Contains malware, spam, or unauthorized advertising.

    9. Review of User Content by Closepod

    9.1 We reserve the right to review, remove, or modify user content that violates these Terms or is deemed objectionable at our discretion.

    10. No Legal Advice; Electronic Communication

    10.1 No Legal Advice:

    Closepod does not provide legal advice. Consult an attorney for legal matters.

    10.2 Electronic Communications:

    By using the Services, you consent to receive communications from us electronically, including emails and notices posted on the website.

    11. Term; Termination

    11.1 These Terms remain effective as long as you use the Services.

    11.2 We may terminate your account for violations of these Terms or misuse of the Services.

    12. Disclaimer of Liability

    12.1 We are not responsible for disputes, inaccuracies, or unauthorized access to your account.

    13. No Liability for Lost Data

    13.1 We are not liable for any data loss or corruption. Users are encouraged to maintain their own backups.

    14. Disclaimer of Warranties and Limitation of Liability

    14.1 The Services are provided “as is” without warranties of any kind.

    14.2 Our liability is limited to the amount paid by you for the Services in the six months preceding the claim.

    15. Indemnity and Waiver

    15.1 You agree to indemnify us against claims arising from your use of the Services or violation of these Terms.

    16.1 We may include links to third-party websites. We are not responsible for their content or accuracy.

    17.1 These Terms apply solely to Bakour Tech LLC and its affiliates.

    18. Data Processing Agreement (GDPR Compliant)

    18.1 If applicable, you agree to the Data Processing Agreement available at closepod.com/dpa.

    19. Miscellaneous

    19.1 Governing Law:

    These Terms are governed by the laws of the State of Delaware, USA.

    19.2 Force Majeure:

    We are not liable for delays caused by events beyond our control.

    21. Arbitration Notice

    21.1 All disputes arising under these Terms will be resolved through binding arbitration under the rules of the American Arbitration Association (AAA).

    21.2 Waiver of Class Actions: Disputes must be resolved on an individual basis. Class action lawsuits are not permitted.
